Business Counseling

We provide our clients with business advice and counseling in such diverse areas as business formation, choice of entity, contracts, leasing and financing, restructuring, asset protection, resolution of co-owner disputes, acquisitions and sales.

Real Estate Transactions

Our attorneys have a vast range of experience in representing real estate developers, brokerages, realtors, lenders, property managers, embassies, hotel owners, landlords, tenants, architects, general contractors, and condominium associations on an array of matters, including project structuring, contract negotiation, acquisition and sales, project financing, loan document negotiation, as well as leasing, rent control, tenant rights of first refusal, co-ownership agreements and conveyancing.

In addition, clients have benefited greatly from our special knowledge of condominium development and related issues. Ms. Lindner has personally performed the legal work involved in creating more than one hundred condominiums - residential, commercial, medical clinic, parking garages, retail strip centers, and other mixed uses.

Estate Planning, Retirement Plan and Tax Planning

We represent high net worth and other individuals in estate and gift tax planning, trust and estate administration, and probate matters. In the estate planning area, we prepare wills, trusts, powers of attorney, advance medical directives, and create family limited partnerships and limited liability companies and other documents related to estate planning that may be appropriate. As part of the estate planning process, we also prepare premarital and post marital agreements.

We provide representation with respect to the design and implementation of qualified retirement plans and ongoing advice to ensure that the plans are operated in compliance with federal law. We have written numerous qualified plans documents, including 401(k) and cross-testing plans, summary plan descriptions and other documents required in connection with the administration of those plans. We also represent clients with respect to plan compliance matters before the Internal Revenue Service and the Department of Labor.
